GCC aircraft leasing offers a genuine UAE tax carve-out and yields 75 to 325 basis points over the nearest sukuk benchmark, but narrowbody lease rates have fallen 11 to 13 percent from their July 2025 peak despite record backlogs, and the September 2026 rate hike inverts the exit-valuation thesis the sector depends on.

GCC Aircraft Leasing and Aviation Finance Investment Screening Report - UAE, Saudi Arabia, Qatar with Global Lessee Exposure

Family office and professional investor mandate, USD 10M to 50M, 3 to 5 year horizon, 2026 to 2031

The sector is real, the UAE tax treatment is genuinely favourable, and one route (a mid-life-weighted DIFC or ADGM closed-end leasing vehicle) clears the live GCC sukuk hurdle by a stated spread, but two dated and unresolved facts hold the screen at SELECTIVE: narrowbody lease rates are falling in the tightest delivery market on record, down roughly 11 to 13 percent from the July 2025 peak on the appraiser tape, and the standard aviation fund life of seven years plus two does not fit a three to five year mandate. The decisive factor is the inversion of the commission's own premise: the Federal Open Market Committee raised rates on 16/09/2026 rather than cutting, so the exit-valuation uplift the thesis depends on is now the downside case. The named triggers that would resolve this are the IBA Q4 2026 and Q1 2027 lease rate prints, the December 2026 FOMC projections, and the final text of AAOIFI Shari'ah Standard No. 62.

Executive Summary

SECTOR VIEW: SELECTIVE. GCC aviation finance is a structurally sound hard-asset class with a rare UAE corporate tax carve-out, but lease rates are softening and the accessible wrappers do not match a three to five year horizon. WHY: Monthly market lease rates for a 12-year Boeing 737-800 fell from USD 255,000 to USD 228,000 and for an A320-200 from USD 253,000 to USD 220,000 since July 2025, inside the tightest supply market on record VERIFIED. The competing instrument, Dubai Islamic Bank's USD 1 billion AT1 perpetual non-call 6-year sukuk priced at a 6.250 percent profit rate on 11/06/2026, is dollar-linked, Shariah-compliant, listed on Euronext Dublin and Nasdaq Dubai and carries no residual value risk REPORTED. Aircraft financing and leasing is an expressly Qualifying Activity at 0 percent UAE corporate tax VERIFIED. WHAT WOULD CHANGE THIS: An IBA Q1 2027 print showing 12-year narrowbody lease rates stabilising above USD 240,000 and USD 235,000 respectively, combined with a vehicle offering a genuine four to five year liquidity mechanism. Confidence: HIGH (74%). Between 50 and 79 percent of material claims are VERIFIED against primary regulator, appraiser or issuer sources; fund-level fee stacks, lessee concentration and subscription minimums are not publicly disclosed.

Investment Thesis

The commissioned thesis was that Gulf carriers' record orderbooks, tight global aircraft supply and elevated lease rate factors have made aviation finance one of the few hard-asset classes offering sukuk-beating, dollar-linked cash yields, and that 2026 rate cuts would reprice both lease rate factors and exit valuations upward. Two of those material premises are inverted on the current evidence, and they are inverted in the same direction.

The first inversion is monetary. The Federal Open Market Committee raised the federal funds target range by 25 basis points to 3.75 to 4.00 percent on 16/09/2026, with the September Summary of Economic Projections placing the median funds rate at 4.1 percent for both 2026 and 2027 and 16 of 18 participants at or above 4.125 percent for end-2026 VERIFIED. Gulf central banks followed within 24 hours: the Central Bank of the UAE lifted its base rate to 3.90 percent effective 17/09/2026 VERIFIED, and the Saudi Central Bank moved the repo rate to 4.50 percent alongside Qatar, Bahrain and Oman VERIFIED. Any floating warehouse or securitisation debt in an aviation structure reprices upward immediately while the assumed discount-rate compression on terminal value does not arrive.

The second inversion is the transmission mechanism itself. Airbus carried a backlog of 9,362 aircraft at end-August 2026, roughly 10.8 years of production at its target rate of about 870 deliveries, and Boeing 6,748 aircraft, approximately 10.0 years at forecast delivery rates VERIFIED. Despite that, monthly market lease rates for a 12-year-old Boeing 737-800 fell approximately 11 percent from USD 255,000 to USD 228,000 and for a 12-year-old Airbus A320-200 approximately 13 percent from USD 253,000 to USD 220,000 since the July 2025 peak, which the appraiser attributes to easing operator demand and rising secondary-market availability VERIFIED. Scarcity is physically real and is no longer converting into incremental rent. That is the single most important finding in this screen.

What survives is narrower and more specific than the commission assumed. Three things are genuinely attractive. First, the tax treatment: the UAE Federal Tax Authority bulletin on Free Zone Persons expressly carves out "financing and leasing of Aircraft, including engines and rotable components" from the Excluded Activities that would otherwise disqualify 0 percent treatment, including where the counterparty is a natural person VERIFIED. Ministerial Decision No. 229 of 2025 Article 2(1)(k) lists financing and leasing of Aircraft, including Aircraft engines and rotable components and related securitisation and advisory services, as a Qualifying Activity, and Article 2(2)(a) and (d) preserve that treatment for transactions with natural persons and against the general finance and leasing exclusion VERIFIED. Second, the yield gap on the one surviving route: a mid-life-weighted DIFC or ADGM closed-end vehicle delivering 7 to 9.5 percent net to the limited partner sits 75 to 325 basis points over the 6.250 percent AT1 sukuk benchmark, and manager-published realised equity fund performance of net 12 percent USD IRR inclusive of an 8 percent cash yield supports the upper half of that band VERIFIED. Third, access is genuinely improving: a Dubai-headquartered manager opened both an operating-lease equity fund and a second-lien aircraft debt fund to Middle East distribution in April and May 2026 for the first time, having previously marketed exclusively in Japan VERIFIED.

What does not survive is equally clear. EETC paper prices below the sukuk hurdle: American Airlines 2026-1 Class A priced at approximately 5.25 percent and Class B at approximately 5.75 percent on 28/04/2026 VERIFIED. Aviation ABS equity notes are the theoretically correct instrument and are structurally unavailable, because issuers retained mezzanine and E-note tranches on recent issuance and the secondary bid in 2025 came from private equity funds and lessors who can service the underlying metal VERIFIED. Engine pools show the highest headline yield and the weakest economics: a heavy shop visit on a CFM56-7B costs USD 2.1 million to 2.8 million against a green-time asset value of USD 2.8 million to 3.4 million REPORTED, so the apparent 14.8 to 20.6 percent gross lease rate factor is maintenance-cost arbitrage requiring MRO slot access a passive allocator does not hold. JOLCO equity fails on arithmetic rather than access: the return is a blend of rent and Japanese depreciation offset against Japanese taxable income, so a GCC principal takes the deliberately sub-market cash yield without the offset that makes the structure rational.

Capital deployment logic therefore runs as follows. At USD 10M to 50M the screen does not favour building a lessor. It favours a limited partner or unitholder position in an existing ADGM or DIFC domiciled aviation vehicle, weighted to mid-life narrowbody already-invested books, held through a DIFC Prescribed Company as subscribing entity, with the underlying title held through an Irish or ADGM SPV where lessees sit in withholding jurisdictions. The exit path is a NAV sale, a manager-led continuation vehicle, or contractual transfer rights negotiated at subscription, not a natural wind-up, because a three to five year hold against a seven-plus-two fund life is a structural mismatch. The screen holds at SELECTIVE until the lease rate tape stabilises and a vehicle with a four to five year liquidity mechanism is documented.

Capital Structure

Not applicable in the conventional sense: this is a sector screen of a fund and portfolio asset class, not a Series A or later operating company. the equivalent disclosure for this asset class is the fund waterfall and the subscribing vehicle's position in it, which is set out here so the reader has the same information a cap table would carry.

PRIOR ROUNDS EQUIVALENT: The comparable platform capital record is public. AviLease priced USD 650 million of 144A/Reg S senior unsecured notes due 2031 on 02/07/2026, following an inaugural USD 850 million five-year bond listed on the London Stock Exchange International Securities Market VERIFIED. Dubai Aerospace Enterprise closed the acquisition of Macquarie AirFinance on 29/07/2026 at an enterprise value of approximately USD 9.0 billion VERIFIED. These set the cost of capital that a family-office-funded vehicle must compete against and cannot match.

ESTIMATED POSITION IN THE FUND WATERFALL: Typical DIFC or ADGM closed-end real-asset vehicles run a preferred return of 7 to 8 percent, a 100 percent general partner catch-up, then an 80/20 split, with management fees of 1.50 to 2.00 percent on committed or invested capital and a separate servicer or technical fee of 0.20 to 0.50 percent of asset value ESTIMATED.

PREFERENCE STACK EQUIVALENT: Limited partners in an aviation vehicle sit behind asset-level secured debt at 50 to 70 percent loan to value and behind any warehouse facility. There is no liquidation preference between LP classes in a standard structure, but anchor investors commonly hold fee discounts, co-investment rights and most-favoured-nation elections that a USD 10M to 50M subscriber will not receive unless negotiated ESTIMATED.

DILUTION IMPACT FOR THE PRINCIPAL: At a USD 40 million commitment into a USD 400 million vehicle the principal holds approximately 10 percent of LP commitments, below the threshold at which advisory committee seats and consent rights are customarily granted ESTIMATED. On a 10.0 percent gross unlevered asset book, cumulative fee drag over five years is roughly 250 to 320 basis points per annum against gross, converting to a net LP outcome of approximately 6.8 to 7.5 percent ESTIMATED. That is 55 to 125 basis points over the 6.250 percent sukuk for taking residual, liquidity, lessee and sanctions risk, which is the reason fee negotiation rather than asset selection is the decisive variable on this route.

Macro Assessment

The macro transmission into this asset class runs through three named channels: policy rates, aircraft supply normalisation, and regional risk premia.

On rates, the commission's premise is dead for now. The FOMC hiked on 16/09/2026 and the September projections carry a median 4.1 percent for 2026 and 2027 VERIFIED. The CBUAE at 3.90 percent and SAMA at 4.50 percent import that stance directly through the dollar pegs VERIFIED. Aircraft equity returns at 60 to 70 percent leverage are extremely sensitive to the debt margin: at 65 percent loan to value and a 6.75 percent all-in debt cost, a 10.0 percent unlevered net yield produces approximately 16.0 percent levered equity, while a 100 basis point debt repricing takes that to approximately 14.2 percent and a compression of the unlevered net to 7.0 percent takes it to approximately 7.5 percent, inside the sukuk benchmark with residual risk still attached ESTIMATED.

On supply, the scarcity that created the entry yield has a published expiry. Airbus is targeting 75 A320-family aircraft per month by 2027 against output running in the mid-50s during 2026, and Boeing's 737 ramp toward 50 per month is forecast for 2027 to 2028 ESTIMATED. A 2026 entry with a three to five year hold exits into 2029 to 2031, precisely the window in which the scarcity premium is scheduled to dissolve. This is a timing risk, not a credit risk, and it is the largest single quantitative exposure in the thesis.

On regional risk premia, GCC investment-grade spreads had returned to pre-war levels by mid-June 2026, with the S&P GCC Sukuk Index yield to maturity at 4.94 percent, the GCC Bond Index at 5.16 percent and the GCC High Yield Sukuk Index at 6.78 percent on 15/06/2026 VERIFIED. Sovereign issuance remains deep: PIF priced USD 2.0 billion of ten-year sukuk at UST plus 85 basis points on 21/01/2026 with an order book near USD 11 billion VERIFIED. The relevant macro point for this screen is that the liquid Shariah-compliant alternative is not distressed and does not need to be beaten by a heroic margin. It needs to be beaten by a margin sufficient to pay for illiquidity, remarketing cost, technical acceptance risk and zakat differential, and on most routes it is not.

Demand-side, Middle East airlines recorded a 14 percent year-on-year decline in international travel demand in June 2026 REPORTED. Gulf carrier orderbooks remain contracted and OEMs report no Gulf delivery deferrals to date, but traffic softness and elevated fuel costs are the mechanism by which a lessee credit event arrives, and 2026 produced three of them.

Sector Health

The sector is structurally healthy at the platform level and cooling at the asset level. Those two facts are frequently conflated in sponsor materials and must be separated.

Platform level. Dubai Aerospace Enterprise reported H1 2026 total revenue of USD 865.9 million against USD 843.6 million in H1 2025, with net lease revenue up 11.5 percent to USD 784.8 million, and disclosed total aircraft in fleet of 638 at 30/06/2026 against 678 at 31/12/2025 VERIFIED. AviLease reported H1 2026 revenue of USD 391 million, up 24 percent, on 199 owned and managed aircraft leased to 51 airlines across 31 countries, total asset value USD 9.4 billion and 100 percent fleet utilisation VERIFIED. Avolon reported Q2 2026 net income up 45 percent to USD 209 million on USD 34 billion of total assets VERIFIED.

Derive the honest gross asset yield from those disclosures. Avolon's approximately USD 2.9 billion of trailing twelve-month lease revenue on USD 34 billion of assets implies roughly 8.5 percent. DAE's annualised net lease revenue of approximately USD 1,570 million on a USD 25 billion fleet value implies roughly 6.3 percent, understated because the fleet value includes managed aircraft ESTIMATED. That range, 6.3 to 8.5 percent gross lease revenue on asset value before depreciation, interest, operating cost and tax, is what a diversified investment-grade professionally serviced portfolio actually produces. The AT1 sukuk pays 6.250 percent with none of those deductions. These platforms earn equity returns because they fund at investment-grade cost, which a family-office-sponsored vehicle funding at 6.5 to 7.5 percent cannot replicate ESTIMATED.

Asset level. The appraiser tape is the decisive evidence and it is softening. The IBA release of 17/07/2026 records the narrowbody lease rate declines cited above and expects continued pressure across parts of the narrowbody sector VERIFIED. In engines, the IBA H2 2026 update of 11/09/2026 states that half-life values may have decreased for many engine types as value shifts from core value to shop visit and life-limited-part cost inputs, and records V2500-A5 price declines on increasing feedstock driven by ACMI softness and the Spirit Airlines bankruptcy VERIFIED. An appraiser changing methodology mid-cycle is marking the asset class down, and any residual assumption built on the pre-change methodology is stale.

Credit events. Three occurred inside twelve months in the supposedly tightest market on record. Spirit Airlines, having filed in November 2024 and refiled in August 2025, ceased operations in 2026, with the court having approved rejection of 67 Airbus leases on 21/10/2025 REPORTED. airBaltic filed for Chapter 11 in the Southern District of New York on 14/09/2026 with EUR 350 million of debtor-in-possession financing and plans to return approximately 20 aircraft to lessors VERIFIED. American Airlines disclosed approximately USD 4 billion of additional 2026 fuel costs and lowered full-year guidance VERIFIED. Scarcity protects the asset. It does not protect the cash flow, the remarketing cost, or the twelve to twenty-four months of downtime.

Securitisation market. Total aviation ABS issuance exceeded USD 10 billion in 2025, an 85 percent increase on 2024 and the strongest year since 2019 VERIFIED. The equity note is expected to return in 2026 but not in a 2019-style open market, and the 2025 secondary bid came from lessors and private equity VERIFIED. That is the one instrument in this screen that would be liquid, rated, priceable against the sukuk index and absorbable at USD 10M to 50M without a fund wrapper, and it is the single most important thing to monitor.

Commercial Terms

PRICING MODEL: Revenue in this asset class is priced as a lease rate factor, being monthly rent divided by current market value, not by original cost. Observed benchmarks: a 12-year Boeing 737-800 at USD 228,000 per month and a 12-year Airbus A320-200 at USD 220,000 per month, from IBA's Market Value and Market Lease Rate update published 24/07/2026 and reported in an IBA article dated 31/07/2026 VERIFIED, implying monthly lease rate factors of roughly 1.20 to 1.52 percent against an ESTIMATED half-life market value band of USD 15 million to 19 million. New-delivery narrowbody sits materially lower at an ESTIMATED 0.62 to 0.78 percent monthly for LEAP-powered aircraft. Engines price separately: a CFM56-7B at USD 42,000 to 48,000 per month against a green-time value of USD 2.8 million to 3.4 million REPORTED, and GE90-115BL long-term extensions at USD 250,000 to 300,000 per month against full-life values above USD 35 million VERIFIED.

GROSS MARGIN PER PRODUCT LINE [ESTIMATED unless stated]: Mid-life narrowbody direct lease, gross 14.4 to 18.2 percent of market value annually, net unlevered cash 8.0 to 11.0 percent after technical and asset management at 2.5 to 4.0 percent of gross rent, lessor-retained insurance at 0.15 to 0.30 percent of hull value, and transition, downtime and redelivery provisioning at 1.5 to 3.0 percentage points annualised. New-delivery narrowbody, net unlevered 6.5 to 8.2 percent. New widebody, net unlevered 5.8 to 7.5 percent. Engine pools, gross 14.8 to 20.6 percent but net materially lower or negative once a full shop visit reserve is booked, because a heavy CFM56-7B shop visit costs 70 to 90 percent of the green-time asset value REPORTED. EETC Class A at 5.25 percent and Class B at 5.75 percent are VERIFIED and require no margin derivation because they are the all-in yield.

UNIT ECONOMICS: The acquisition-cost analogue to CAC is the transaction cost stack at 1.5 to 3.0 percent of asset value for sourcing, technical acceptance and legal, plus 0.5 to 1.2 percentage points annualised for substance, audit and tax agent costs on a USD 50 million book, rising to 2.5 to 6.0 percentage points on a USD 10 million standalone structure ESTIMATED. The lifetime-value analogue is contracted rent over the remaining lease term plus terminal value: on a worked mid-life example of a 12-year A320-200 at USD 28 million entry with 60 months remaining at USD 280,000 per month, contracted cash is USD 16.8 million and the outcome turns entirely on exit, with an exit at USD 22 million giving approximately 11 percent unlevered IRR, USD 18 million approximately 8.5 percent, and USD 14 million approximately 5.5 percent, the last of which loses to the sukuk ESTIMATED. Payback on a direct asset is therefore not a cash-flow concept but a residual concept, and a standalone structure is only economic above approximately USD 40 million of deployed capital.

REVENUE RECOGNITION PATTERN: Operating lease rentals are recognised straight-line over the lease term under IFRS 16 lessor accounting, with maintenance reserves and supplemental rent recognised as a liability until an eligible maintenance event occurs and then released, and end-of-lease compensation recognised on redelivery. Fund-level distributions to limited partners are quarterly or semi-annual cash yield plus terminal distributions on asset sale. In an ijara structure the rental is recognised identically, but late-payment amounts cannot accrue to lessor income and are channelled to a purification or charity account LEGAL.

Regulatory Position

This section is drawn from the legal analysis and is the authoritative statement of the regulatory position. It should be read as screening analysis requiring sign-off from qualified counsel in each target jurisdiction before any commitment.

LAYER ONE, THE TREATY LAYER. The Convention on International Interests in Mobile Equipment (Cape Town, 2001) and its Aircraft Protocol are the operative law for creation, priority, registration and enforcement of interests in airframes, qualifying engines and helicopters. What matters is not accession but the declarations lodged. The United Arab Emirates acceded on 29/04/2008 in force 01/08/2008, with Convention declarations 39(1)(a) to (b), 40, 52, 53 and 54(2), and Aircraft Protocol declarations XIX, XXIX and XXX(1), (2) and (3). Qatar acceded on 08/01/2020 in force 01/05/2020 with Protocol declarations XXX(1), (2) and (3). Saudi Arabia ratified on 27/06/2008 in force 01/10/2008 with a Convention declaration under Article 54(2) only and no Aircraft Protocol declarations at all [LEGAL, UNIDROIT status tables, [24]].

That last line is the most consequential legal fact in this report. Protocol Article XXX(1) is the gateway that switches on Articles VIII, XII and XIII, the last being the Irrevocable De-registration and Export Request Authorisation. XXX(2) switches on Article X speedy interim relief. XXX(3) switches on Article XI and is the route by which a state elects Alternative A, the sixty-day cure-or-surrender insolvency remedy that the entire aircraft ABS and export-credit market prices off. The UAE (accession 29.04.2008, declarations XIX, XXIX, XXX(1),(2),(3)) and Qatar (accession 08.01.2020, declarations XXX(1),(2),(3)) have all three; Saudi Arabia, which ratified on 27.06.2008 with entry into force 01.10.2008, has lodged no Aircraft Protocol declarations at all VERIFIED. A vehicle marketed on "Cape Town protection" is, as to its Saudi lessees, protected by baseline Convention remedies only, without an IDERA and without Alternative A. Saudi Arabia is simultaneously the fastest-growing lessee pool in the region.

Even in the UAE the remedy is slower than marketing suggests. Because of the Article 54(2) declaration, any remedy not expressly requiring a court judgment is enforceable in the UAE only by court order, with no self-help available, and this extends to IDERA enforcement in all cases VERIFIED. A successful Sharjah repossession required an ex-parte application with full and frank disclosure, correctly drafted Cape Town incorporation in the lease, a local MRO arranged for safe retention, ferry flight provision and readiness to post a bond VERIFIED. It is achievable. It is neither fast nor automatic.

LAYER TWO, UAE FEDERAL LAW. Federal Law No. 20 of 1991 issuing the Civil Aviation Act governs the UAE register, with Article 28 establishing the special aircraft register and Article 29 requiring strike-off where title passes to a foreigner, which is why the owning SPV must be UAE-incorporated for A6-registered metal [LEGAL, [27]]. The Civil Aviation Law was amended in August 2024 to confirm Cape Town supersedes conflicting provisions, making the UAE eligible for the OECD Aircraft Sector Understanding Cape Town discount of up to 10 percent on ECA fees and spreads LEGAL. A foreign lessor does not need a UAE licence merely to lease or finance a UAE-registered aircraft, and aircraft subject to the special register and Cape Town are excluded from the UAE Financial Leasing Law LEGAL.

LAYER THREE, THE FINANCIAL CENTRES. DIFC operates under Regulatory Law No. 1 of 2004, Collective Investment Law No. 2 of 2010, Companies Law No. 5 of 2018, the Prescribed Company Regulations as amended with effect 24/07/2026, Data Protection Law No. 5 of 2020 and Insolvency Law No. 1 of 2019, with the DFSA Rulebook modules GEN, COB, CIR, AML and PIB. The 24/07/2026 amendment removed the nexus and Qualifying Purpose gates entirely, so any applicant may now establish a Prescribed Company, giving DIFC the widest SPV eligibility in the GCC; the prior regime listed "Aviation Structure" as an express Qualifying Purpose [LEGAL, [28]]. A Corporate Services Provider must be appointed unless exempt, and Prescribed Companies incorporated before 24/07/2026 have until 24/01/2027 to appoint one, with a penalty of up to USD 20,000 and loss of status for failure LEGAL. Critically, a Prescribed Company may not hire employees and may not carry on commercial activity, which is in direct tension with the corporate tax substance test below LEGAL.

ADGM operates under the Companies Regulations 2020 and the FSRA Rulebook, with ADGM Courts applying English common law directly, and has enacted the Cape Town Convention and Aircraft Protocol into its own regime, with the declarations reproduced at Rulebook Schedule 17 and the Convention applied through Part 12 of the Insolvency Regulations [LEGAL, [29]]. ADGM has hosted the first ADGM aviation sale-and-leaseback and the first ADGM-structured aviation sukuk, and licensed aviation lessors including Airborne Capital, Stellwagen Group and International Airfinance Corporation VERIFIED. The ADGM Registration Authority retains a nexus test exercised as Registrar discretion. FSRA Consultation Paper No. 12 of 2025, published 24/11/2025 and closed 30/01/2026, proposes an Institutional Fund Manager lane with a USD 5 million minimum subscription and a prohibition on natural persons as unitholders, which is a direct reason to subscribe through a corporate vehicle rather than personally [LEGAL, [31]].

LICENSING FOR THE PRINCIPAL. No DFSA or FSRA authorisation attaches to a family office subscribing into a fund. What is required is classification as a Professional Client under DFSA COB Rule 2.3 or FSRA COBS Rule 2.4, and satisfaction of the minimum subscription, currently USD 500,000 for a DIFC Qualified Investor Fund and USD 50,000 for a DIFC Exempt Fund, both private placement to Professional Clients only [LEGAL, [32]]. The manager, by contrast, requires a DFSA or FSRA fund management permission, and that must be confirmed on the primary register rather than from the offering memorandum. A DFSA public register query run during this screen returned a blocked response and could not confirm the authorisation status of any named aviation manager; all such status claims accordingly remain UNCONFIRMED and are carried into the conditions precedent.

PENDING REGULATORY CHANGE. The DFSA published Consultation Paper No. 173 on 07/07/2026, the first substantial review of the DIFC funds regime since 2010, proposing to substantially limit the specialist fund class framework and to disapply the USD 500,000 QIF and USD 50,000 Exempt Fund minimum subscription amounts and minimum net asset requirements for defined employee and sponsor investors rather than for subscribers generally, with comments due 07/09/2026 and a three-month transition proposed REPORTED. Any subscription document signed before CP173 concludes should carry a repapering covenant. The DIFC also enacted Variable Capital Company Regulations in February 2026, adding a pooling vehicle relevant to family structures LEGAL.

TAX. UAE corporate tax is imposed by Federal Decree-Law No. 47 of 2022 at 9 percent above AED 375,000, with a Qualifying Free Zone Person paying 0 percent on Qualifying Income. Ministerial Decision No. 229 of 2025 Article 2(1)(k) lists financing and leasing of aircraft as a Qualifying Activity, replacing Ministerial Decision No. 265 of 2023 and applying retroactively from 01/06/2023, and Article 2(2) expressly carves aircraft out of the Excluded Activity for finance and leasing, including where the counterparty is a natural person [LEGAL, and VERIFIED]. The gates sit in Cabinet Decision No. 100 of 2023: Article 4 sets the de minimis at the lower of 5 percent of total revenue or AED 5,000,000 of non-qualifying revenue, and Article 7 requires core income-generating activity in the Free Zone with adequate assets, qualified full-time employees and operating expenditure. Breach costs Qualifying Free Zone Person status for the current tax period and four subsequent periods LEGAL. The sharpest exposure is the revenue mix, not the rate: engine and spare-parts pool income, MRO revenue, parts trading margin and coupon income on third-party ABS paper are each arguably outside the aircraft carve-out, so a vehicle running narrowbody leases alongside an engine pool and an ABS sleeve can breach the de minimis before anyone notices LEGAL.

WITHHOLDING AND ZAKAT. The UAE imposes no outbound withholding on lease rentals or dividends. Saudi Arabia, under Article 68 of the Income Tax Law issued by Royal Decree No. M/1 of 1425H with Implementing Regulations Article 63, imposes withholding on payments to non-residents, with rent and lease rentals in the 5 percent band and the Saudi payer personally liable for unwithheld tax; 5 percent on gross rentals is roughly 50 to 90 basis points of unlevered yield unless the lease is gross-up protected [LEGAL, [33]]. There is no UAE to United States double tax treaty, so US-source rentals to a UAE lessor face the statutory 30 percent gross rate absent a specific exemption, which is the strongest argument for Irish title-holding on US lessee exposure ESTIMATED. On zakat, ZATCA's Implementing Regulations for Zakat Collection Article 35 provide that, except for a zakat payer engaged in financing activities, leased assets are not deducted from the lessor's zakat base regardless of financial statement classification, and Article 77 permits unitholders to deduct investments in investment funds only where the fund is registered under Saudi Capital Market Authority regulations, with the ZATCA FAQ explicit that unitholders in funds established outside the Kingdom cannot deduct VERIFIED. The rate is 2.5 percent of the zakat base for Hijri filers and approximately 2.57 percent for Gregorian filers VERIFIED.

SHARIAH AND AAOIFI. Under AAOIFI Shari'ah Standard No. 9 on Ijarah and Ijarah Muntahia Bittamleek, the lessor as owner must bear ownership risk, structural and major maintenance obligation and insurance cost, the lessee bears ordinary operating maintenance, late-payment amounts cannot accrue to lessor income and must be purified through a charity mechanism net of actual collection cost, and a forward sale of the residual must not collapse the ijarah into a disguised financing, which is why Ijarah Muntahia Bittamleek uses a separate unilateral promise or gift rather than a single bilateral obligation. AAOIFI Shari'ah Standard No. 8 on Murabaha is the companion standard where a purchase undertaking is used. Commercial operating leases push maintenance, insurance and total loss risk onto the lessee through hell-or-high-water, maintenance reserve and total loss clauses, so a compliant structure requires a service agency agreement placing major maintenance and takaful with the lessor back-to-back with the lessee, plus supplementary rentals. A fatwa obtained on a template that does not match the executed lease is worthless. Separately, AAOIFI confirmed on 28/04/2025 that draft Shari'ah Standard No. 62 remained under amendment following industry feedback and was not finalised VERIFIED. In draft form it would require transfer of legal ownership of underlying assets to sukuk holders. Aircraft are one of the few asset classes where true legal title transfer to an SPV is routine, so Standard No. 62 is a structural advantage for aviation ijara relative to corporate asset-based sukuk; it also repositions the benchmark denominator in this comparison, because the AT1 sukuk hurdle itself could be restructured inside the holding period.

SHARIAH SCREENING AND PURIFICATION. For a Shariah-constrained principal the screening obligations are: confirmation that lessee revenue is not predominantly derived from non-permissible activity, which for scheduled passenger and cargo carriers is generally satisfied subject to ancillary revenue treatment; confirmation that the vehicle's cash management and any hedging facility use Shariah-compliant instruments rather than conventional deposits and swaps; a documented income purification policy covering late-payment receipts and any incidental conventional interest earned on cash balances, with the purified amount disbursed to charity and evidenced annually; and a dated fatwa from a named Shariah Supervisory Board issued on the executed lease, insurance binder and maintenance programme rather than on the product category. Absent that evidence the AT1 sukuk is the Shariah-compliant instrument and the aviation paper is conventional credit carrying additional cost.

AML AND SANCTIONS. The applicable regime is UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism with Cabinet Decision No. 10 of 2019 as amended, applied in DIFC through the DFSA AML Module and in ADGM through the FSRA AML Rulebook, alongside the current UAE federal AML framework. Obligations run to customer risk assessment and risk-based customer due diligence, enhanced due diligence on politically exposed persons, UN and UAE targeted financial sanctions screening, and suspicious activity reporting to the UAE Financial Intelligence Unit via goAML. Ultimate beneficial ownership disclosure arises under the DIFC Ultimate Beneficial Ownership Regulations and the ADGM Beneficial Ownership and Control Regulations. The UAE was removed from the FATF list of Jurisdictions under Increased Monitoring on 23/02/2024, having been listed since 04/03/2022 VERIFIED. Aviation-specific flags that generic fund due diligence misses: screening must run to the aircraft at manufacturer serial number and engine serial number level, to the operator, to any permitted sub-lessee, to the maintenance provider and to the insurer, because a clean lessee with a sanctioned sub-lessee is a breach. EU Regulation 833/2014 Article 3c prohibits supply, transfer, sale and leasing of aircraft and parts to Russia; US Export Administration Regulations controls and Bureau of Industry and Security denial orders reach US-origin parts wherever located; and OFAC's Iranian Transactions and Sanctions Regulations reach Iranian civil aviation in full, with IRGC [SANCTIONED: IRGC (OFAC, UK)]-linked carriers and their front operators a standing designation risk in the region. The 2015 JCPOA, endorsed by UN Security Council Resolution 2231, provided a framework for nuclear-related sanctions relief and restoration of UN sanctions. The E3 initiated the snapback process on 28 August 2025. The EU Council reimposed nuclear-related restrictive measures on 29 September 2025 VERIFIED. This historical context does not establish current transaction legality or alter this report's exclusion of Iranian-linked exposure. Any route involving Iranian-linked lessees, sub-lessees or parts flows is treated as PROHIBITED for this mandate and no structure in this report contemplates one. Russian-linked exposure is HIGH risk and excluded. Engine and spare-parts pools carry the highest illicit-trade risk in the sector, because parts traceability and back-to-birth provenance are simultaneously a value question and an AML question. The USD 215 million OFAC civil penalty imposed on a private-capital gatekeeper in 2025 is the reminder that enforcement reaches the allocator, not only the sanctioned counterparty REPORTED.

Location Fit

Three domiciles are in scope and they are not interchangeable.

ABU DHABI GLOBAL MARKET, AL MARYAH ISLAND. ADGM is the strongest fit for direct per-aircraft title and for any structure requiring insolvency-remote treaty enforcement, because it has enacted the Cape Town Convention and Aircraft Protocol into its own regime through Part 12 of the Insolvency Regulations and Rulebook Schedule 17, applies English common law directly through the ADGM Courts, and has an established aviation cluster with Airborne Capital, Stellwagen Group and International Airfinance Corporation licensed since January 2018 VERIFIED. ADGM has hosted the first ADGM aviation sale-and-leaseback and the first ADGM-structured aviation sukuk VERIFIED. The constraint is the Registration Authority nexus test, exercised as Registrar discretion, and the FSRA proposal to prohibit natural persons as unitholders in the Institutional Fund Manager lane.

DIFC, DUBAI. DIFC is the stronger subscribing vehicle. Since 24/07/2026 the Prescribed Company regime has no nexus test and no Qualifying Purpose gate, giving the widest SPV eligibility in the GCC, and incorporation runs two to three weeks with a licensed Corporate Services Provider, though a realistic end-to-end timeline including UBO filings and bank account opening is four to eight weeks LEGAL. The binding limitation is that a Prescribed Company may not employ staff or carry on commercial activity, so it cannot itself host core income-generating activity for corporate tax substance purposes. DIFC also lacks ADGM's express enactment of Cape Town into its own rulebook. DFSA CP173 makes the DIFC funds regime the one in motion, which argues for a repapering covenant on any DIFC-domiciled vehicle.

SAUDI ARABIA, RIYADH ONSHORE. Relevant as the lessee jurisdiction and as the domicile of the largest sovereign-sponsored platform, not as a structuring domicile for this ticket. The absence of Aircraft Protocol declarations, the 5 percent withholding under Article 68 and the CMA Investment Funds Regulations as amended with effect 21/07/2025 together mean that Saudi lessee exposure needs pricing and capping rather than avoiding, and that a CMA-registered fund is the only route by which a Saudi-assessed principal recovers the Article 77 zakat base deduction.

QATAR, QFC AND DOHA. Qatar has the full Protocol XXX(1), (2) and (3) declaration package including Alternative A, which puts Qatari lessee exposure on the same enforcement footing as UAE exposure. The Qatar Financial Centre Regulatory Authority is the relevant regulator for the one Shariah-compliant GCC aviation fund platform identified in this screen.

IRELAND AND CAYMAN, AS TITLE LAYERS ONLY. Ireland remains the deepest treaty network for aircraft rentals, and the position was recently tested and confirmed in India, where the Mumbai Income Tax Appellate Tribunal held in Sunflower Aircraft Leasing Limited v. ACIT that a dry-leased aircraft does not create an Indian permanent establishment and that rentals are taxable exclusively in Ireland VERIFIED. No equivalent tested case law exists for the UAE route. Treaty equivalence with Ireland should not be assumed.

Critical Review

KILLER QUESTIONS, RANKED BY LEVERAGE

  • What percentage of the rent roll is actually paid by a Gulf carrier, and what is the credit distribution of the rest? The missing data point is a lessee-by-lessee schedule showing percentage of net book value and percentage of contracted rent per lessee with the rating or internal score of each. This matters because the commission's entire framing rests on Gulf carrier orderbooks creating the yield, and that is a non-sequitur. Emirates is a net remover of aircraft from lessor balance sheets, having bought out 29 A380s and 5 Boeing 777s at lease end and funding itself through Japanese operating leases, French tax lease, insurance-backed and ECA structures that Gulf family office capital does not sit in REPORTED. Fitch's 2026 affirmation of the largest Saudi platform notes that Saudi Arabia is no longer its largest single market REPORTED. If Gulf exposure is under 15 percent and the balance is global low-cost carriers, this is not a Gulf hard-asset trade. It is a global sub-investment-grade airline credit fund wearing a GCC label, and the dollar-linked regional framing collapses entirely .

  • What is the manager's assumed residual value at exit, and what is net IRR at a 15 percent and a 25 percent haircut to mid-life narrowbody values? The missing data point is the base, downside and stress residual assumption per tail together with the appraiser's identity and methodology vintage. This matters because the appraiser changed its run-out value methodology in H2 2026, placing greater weight on shop visit and life-limited-part cost inputs and reducing half-life values for many engine types VERIFIED. If the base case requires flat or rising mid-life values through a 2029 to 2031 exit, the product is a directional bet on supply staying broken rather than a yield strategy, and the entire IRR is one assumption wearing a coupon's clothes .

  • Name one live, open, DFSA-notified or FSRA-notified aviation vehicle accepting a USD 10 million to 50 million subscription today, with its minimum ticket, domicile, fee stack and liquidity mechanism in writing. The missing data point is subscription documentation. This matters because the wrapper demonstrably exists but aviation product availability at this ticket is unevidenced: the ADGM aviation cluster consists of operating platforms rather than open third-party funds, and the two named 2026 fund launches disclosed sponsors and distribution geography but not size, minimum or target net yield. If no such vehicle can be documented within 60 days, the realistic execution is a single-asset SPV co-investment alongside a servicer, which is a completely different risk profile from the diversified-fund framing on which the spread analysis depends .

FRAGILE ASSUMPTIONS, RANKED BY LEVERAGE

  • That tight aircraft supply is structural and will persist through the hold, protecting residual values at exit. It is treated as background fact because it has been true since 2020. It is a production-schedule fact with a published end date: Airbus is targeting 75 A320-family aircraft per month by 2027 against mid-50s output in 2026, and Boeing's 737 ramp toward 50 per month is forecast for 2027 to 2028. A 2026 entry with a three to five year hold exits precisely into the window in which the scarcity that created the entry yield is scheduled to dissolve. If wrong, the investor buys at scarcity-inflated values and sells into normalised supply, collecting the rent but inverting the terminal value that drives most of the IRR .

  • That 2026 rate cuts would be unambiguously good, repricing both lease rate factors and exit valuations upward. This conflates three separate mechanisms. Existing fixed-rate leases do not reprice upward when rates fall, because contracted rent is fixed. What falls is the discount rate applied to residual, and what also falls is the barrier to entry for competing capital. Lease rate factors have historically not followed interest rates, being driven instead by capital supply and aircraft demand. Cheaper debt in a scarce-asset market bids up acquisition prices and compresses the lease rate factor for the next buyer. If wrong, the rate-cut narrative used to justify entry is the mechanism that compresses the entry yield: the investor pays the scarcity price and receives the post-compression factor. The point is presently moot because the Fed hiked, which is the same conclusion arrived at from the other direction .

  • That an unlevered aviation lease portfolio can deliver a sukuk-beating net yield after the full fee stack. This is treated as arithmetic and is falsifiable with one public data point. Fitch, rating the best-capitalised regional platform, assessed its net spread, being lease yield less funding cost, as commensurate with a 'bb' benchmark range, with an upgrade trigger set at a sustained net spread above 3.5 percent REPORTED. If the sovereign-backed champion with the cheapest funding in the region earns a sub-investment-grade net spread, a family office sitting behind a servicer fee, an acquisition fee, a management fee and carry must explain where a superior net yield originates. If wrong, the premium over sukuk is either non-existent or manufactured by leverage and residual optimism, in which case the instrument is levered airline credit with an aircraft attached .

INCONVENIENT FACTS

  • The largest A320neo lessee story of this cycle ended in liquidation in the middle of the tight supply period. Spirit Airlines filed in November 2024, exited in March 2025, refiled in August 2025 and ceased all operations in 2026, with the court approving rejection of 67 Airbus leases on 21/10/2025 after the carrier sought to reject 87, generating an allowed general unsecured claim of USD 572.4 million for one lessor alone and exposure across six rated aviation ABS transactions REPORTED. Record scarcity and record lease rates did not prevent a 214-aircraft operator from liquidating and dumping narrowbodies back onto lessors. Scarcity protects the asset. It does not protect the cash flow, the remarketing cost, or the downtime .

  • JOLCO is a Japanese corporate tax product and Gulf capital cannot monetise the thing that makes it work. The equity is sold to profitable Japanese corporates who offset accelerated depreciation and SPV losses against domestic taxable profit through a tokumei kumiai silent partnership. Arrangers describe the products explicitly as investment products for Japanese corporations. A GCC family office in a zero-tax jurisdiction has no Japanese taxable income to shelter, so it takes the full residual risk while receiving none of the tax deferral that constitutes the majority of the Japanese investor's return. Emirates appears in this market as a user of Japanese operating leases, which means the Gulf carrier is the counterparty consuming Japanese tax equity, not a route through which Gulf capital earns it .

  • Mid-life aircraft ABS, the exact vintage band that generic guidance recommends for yield-seeking investors, has a documented record of paying principal late. A rating agency review of three mid-life aircraft ABS transactions found class A and B notes behind scheduled principal by between 15 and 54 percent on portfolios with weighted-average age by value of 12 to 14 years REPORTED. Separately, Russian re-registration stranded aircraft valued at approximately USD 10 billion, triggering rounds of watch placements and downgrades across dozens of aviation ABS transactions, with recoveries arriving years later through war-risk insurance litigation rather than aircraft sale. The recovery mechanism in the last two shocks was a multi-year lawsuit, and the fund life and the litigation cycle are the same length .

Makes the GCC engine-leasing lane sovereign-captive and effectively unavailable at this ticket

PART B, RECENT MOVES

  • Dubai Aerospace Enterprise closed a USD 9.0 billion acquisition of Macquarie AirFinance on 29/07/2026 while simultaneously shrinking its own owned fleet. DAE announced completion of the purchase of 100 percent of Macquarie AirFinance Limited on 29/07/2026 at an enterprise value of approximately USD 9.0 billion, up from roughly USD 7 billion at announcement in February 2026, creating a combined owned, managed and committed fleet of approximately 1,000 aircraft leased to more than 175 airlines in over 75 countries, narrowbodies around 70 percent, ranking third globally by fleet value VERIFIED. The detail the headline buries is in the same issuer's H1 disclosure: total aircraft in fleet of 638 at 30/06/2026 against 678 at 31/12/2025 VERIFIED. The most sophisticated aviation credit in the Gulf was a net seller of individual aircraft into the strongest lease rate environment since 2019 while paying a premium for a platform. A family office buying mid-life narrowbody equity in 2026 is on the other side of that trade. The impact on this screen is to shift weight from direct metal at peak appraised values toward platform and servicer exposure, and it is one of the two reasons the verdict is SELECTIVE rather than ATTRACTIVE.

  • Blackstone Credit and Insurance and DAE launched the Equator programme on 09/04/2026 targeting approximately USD 1.6 billion of annual deployment into global aircraft leasing. DAE contributes origination, servicing and asset management; the Blackstone insurance and credit balance sheet contributes capital VERIFIED. The lessee base is global airlines, so this is UAE-managed global aviation finance rather than UAE asset exposure. The consequence for the principal is a sourcing question rather than a yield question: when an insurance-backed buyer with permanent capital absorbs USD 1.6 billion a year of sale-and-leaseback origination through the region's best servicer, the residual supply reaching a USD 10M to 50M ticket is by construction what that programme declined or could not absorb. Any GCC aviation vehicle pitching sale-and-leaseback equity should be asked in writing whether its sourcing overlaps DAE origination and where it sits in the waterfall relative to Equator. That question becomes a named condition precedent in this report.

  • Hassana Investment Company and AviLease formed a joint venture on 15/09/2025 expressly designed to open aviation financing to local and international investors. Hassana, the investment manager of the General Organization for Social Insurance, holds the majority stake with AviLease acting as service provider, and the first transaction acquired 10 new-technology aircraft from AviLease currently leased to Saudi carriers, with Hassana stating that the partnership is designed to provide access to the aviation financing asset class for both international and local investors VERIFIED. AviLease's H1 2026 numbers give the sector a public benchmark: USD 391 million of revenue up 24 percent, 199 owned and managed aircraft, USD 9.4 billion of assets, 100 percent utilisation, four aircraft sold in Q2 and six held for sale at end-H1 VERIFIED. This is the single most important structure for the principal to track because a sovereign-sponsored vehicle expressly chartered to admit outside investors in Saudi-lessee aircraft is the closest regional analogue to the deal type under screen. The unresolved item is whether the joint venture has actually opened to third-party subscription and on what minimum, and the Saudi Cape Town declaration gap makes Saudi lessee concentration the first thing to price in it.

  • Lesha Bank took the only listed GCC-accessible widebody aviation vehicle private on 28/06/2026 and replaced it with a Doha-sponsored Shariah fund. Lesha Bank LLC (Public), authorised by the Qatar Financial Centre Regulatory Authority under licence No. 00091 and listed on the Qatar Stock Exchange as QFBQ, completed the acquisition of 100 percent of Amedeo Air Four Plus Limited, a Guernsey-incorporated aircraft leasing company listed in London, having announced the proposal on 06/03/2026 REPORTED. On 01/09/2026 the bank, through its Lesha Aviation Fund, completed the acquisition of equity interests in a diversified portfolio of 18 aircraft leased to 9 airlines across 8 countries, managed by Lesha Aviation Capital in Dublin VERIFIED. Reported closed aviation AUM is approximately USD 3.3 billion across 46 aircraft at 65 percent widebody, with a pipeline of approximately USD 1.7 billion at 68 percent narrowbody REPORTED. A GCC family office that previously accessed widebody lease cash flows through a daily-traded London-listed vehicle no longer can. The replacement is a genuine dated Shariah-compliant access route at this ticket and simultaneously a liquidity downgrade that must be priced, which reinforces the horizon-mismatch finding.

  • Novus Aviation Capital launched two funds within four weeks in 2026 and extended distribution of its operating-lease platform into the Middle East for the first time. Tamweel Aviation Finance III, a closed-end secured second-lien debt fund dedicated to financing Airbus aircraft, was announced on 16/04/2026 co-sponsored by Airbus, Development Bank of Japan and Novus, following full commitment of its predecessor VERIFIED. On 11/05/2026 Novus and Sumitomo Mitsui Trust Bank launched Ortus Aircraft Leasing Fund, L.P. III, with Novus stating that whereas the 2016 and 2019 predecessor funds were marketed exclusively in Japan, Ortus III will be offered across Asia and the Middle East VERIFIED. This is the most directly actionable item in the screen: a Dubai-based manager with a long track record opened both the equity and the mezzanine lane to Gulf capital in the same quarter, with Airbus as a sponsor on the debt side. A DFSA register query run during this screen returned a blocked response and the open-web fallback returned only a DFSA alert page concerning entities named "Coworth and Novus" which could not be matched to this entity; authorisation status therefore remains UNCONFIRMED and written confirmation is a condition precedent before any subscription.

  • The DFSA opened the first full rewrite of the DIFC funds regime since 2010 on 07/07/2026 while AAOIFI Shari'ah Standard No. 62 remains unfinalised, leaving both the wrapper and the Shariah structuring genuinely unsettled. Consultation Paper No. 173 proposes to substantially limit the specialist fund class framework, remove the USD 500,000 minimum subscription for Qualified Investor Funds and the USD 50,000 minimum for Exempt Funds, and relax minimum net asset requirements, with comments closed 07/09/2026 and a three-month transition proposed [LEGAL, [43]]. In parallel, AAOIFI confirmed on 28/04/2025 that draft Standard No. 62 remained under amendment and was not finalised VERIFIED. Because aircraft are one of the few asset classes where true legal title transfer to an SPV is routine, Standard No. 62 is a structural advantage for aviation ijara over asset-based corporate sukuk if adopted, but it also repositions the benchmark against which this entire screen is measured. Any subscription signed before CP173 concludes should carry a repapering covenant, and the Standard No. 62 final text is one of the three named triggers that would move this verdict.

PART C, INTELLIGENCE VERDICT

The timing window is OPENING on the access and creditor routes and CLOSING on the direct mid-life metal trade, and the one move in the next 90 days is to obtain written subscription terms, minimum ticket, domicile, fee stack, lessee schedule and liquidity mechanism from the three named regional access points identified above, with a CP173 repapering covenant attached, before the 2026 vintage of lease rate prints resets the entry basis.

Financial Frame

CAPITAL DEPLOYMENT LOGIC. At USD 10M to 50M the arithmetic of substance costs determines the structure before any view on aircraft. A minimally substantive ADGM or DIFC leasing entity with a director, technical oversight, administration, audit and tax agent costs an estimated USD 250,000 to 600,000 per annum fully loaded ESTIMATED. That is 50 to 120 basis points of drag on a USD 50 million book and 250 to 600 basis points on a USD 10 million book. The UAE 0 percent Qualifying Free Zone Person advantage is therefore real and is only economic above approximately USD 40 million of deployed capital in a standalone structure. Below that, the screen favours a limited partner position in an existing vehicle where substance costs are already amortised across a larger asset base.

EXPECTED RETURN RANGE. On the one surviving route, a mid-life-weighted DIFC or ADGM closed-end vehicle already 70 percent or more invested: net LP unlevered distribution of 7.0 to 9.5 percent, or plus 75 to plus 325 basis points over the 6.250 percent AT1 sukuk benchmark ESTIMATED. Manager-published comparable performance of a target 10 percent USD IRR inclusive of a 7 percent cash yield, with a realised predecessor equity fund at net 12 percent USD IRR inclusive of an 8 percent cash yield, supports the upper half of that band VERIFIED. On a new-delivery-heavy book the same fee stack produces 5.5 to 8.5 percent net LP, which fails the hurdle on a risk-adjusted basis. Direct mid-life narrowbody at 60 to 70 percent leverage produces approximately 13 percent levered equity on flat values and approximately 16 percent at a 10.0 percent unlevered net with 6.75 percent debt, but approximately negative 3 percent if asset values decline 6.5 percent per annum ESTIMATED. The entire return is the residual assumption.

DOWNSIDE. The stress case is not a lessee default, it is simultaneous lease rate and residual mean reversion. If the unlevered net compresses to 7.0 percent while debt holds at 6.75 percent, levered equity falls to approximately 7.5 percent with full residual risk still attached, which is inside the sukuk on a risk-adjusted basis ESTIMATED. On the worked mid-life example, an exit at USD 14 million on a USD 28 million entry produces approximately 5.5 percent unlevered IRR, a loss against the liquid alternative. For a Saudi-assessed principal, zakat of approximately 2.5 to 2.57 percent per annum of carrying value with no deduction for a foreign-domiciled fund consumes between a fifth and a third of an 8 to 12 percent net distribution, compressing the mid-case spread over the sukuk to roughly plus 125 basis points on a nine-year illiquid lock ESTIMATED.

EXIT PATHWAYS. Three exist and none is clean at a three to five year horizon. First, a NAV sale of the LP interest into a small circle of known buyers at a discount, with no functioning secondary market for DIFC or ADGM private fund stakes at scale. Second, a manager-led continuation vehicle, which must be documented as a policy at subscription rather than hoped for. Third, contractual transfer rights negotiated into the side letter, which is the only mechanism the principal controls. A fourth pathway exists only on the securities route: an aviation ABS E-note bought in the secondary market can in principle be sold, although the 2025 bid came from lessors and private equity and the instrument is the residual, so a three to five year hold is a mark-to-model exit into a thin bid.

WORKING CAPITAL. Aviation vehicles call capital over an investment period rather than upfront, so committed capital is not deployed capital and management fees charged on commitments create a J-curve. Reserve requirements at the investor level are modest, but three items must be reserved for: technical acceptance and redelivery costs at 1.5 to 3.0 percent of asset value on any direct holding, twelve to twenty-four months of rent-hole provision per lessee default event, and Shariah structuring cost of USD 75,000 to 200,000 setup plus USD 25,000 to 75,000 per annum on a single-tail structure, or 5 to 15 basis points per annum once scaled in a fund ESTIMATED.

ESTIMATED EXPOSURE SPLIT BY GEOGRAPHY. This is a multi-jurisdiction asset class and the split is the risk, not a footnote. The table below is the indicative profile of a GCC-originated mid-life narrowbody vehicle and must be replaced with the actual lessee schedule before commitment.

UAE lessees25 to 40 percentCape Town Protocol XXX(1)(2)(3) including Alternative A, but Article 54(2) means court order required, no self-help LEGALNil
Saudi Arabia lessees10 to 25 percentNo Aircraft Protocol declarations, no IDERA, no Alternative A LEGAL5 percent under Article 68 unless grossed up
Qatar lessees5 to 15 percentFull Protocol XXX(1)(2)(3) declaration package LEGAL5 percent risk on royalty-character payments
Europe and United Kingdom lessees15 to 25 percentStrong, but 2026 produced an airBaltic Chapter 11 in this band VERIFIEDTreaty dependent
Asia-Pacific and India lessees10 to 20 percentMixed; Irish title-holding tested and confirmed in India VERIFIED10 percent India absent treaty relief
Americas and Africa lessees5 to 15 percentSection 1110 strong in the US; weak in parts of AfricaUp to 30 percent US statutory absent a treaty

The material point is that a 90 percent GCC book and a 30 percent GCC book are different bets. A book with more than 25 percent Saudi lessee rent without a concentration cap and an enforceability opinion should be repriced or declined.

Diligence Actions

  • REQUEST from any candidate manager the lessee-level rent schedule showing, per lessee, percentage of net book value, percentage of contracted rent, remaining lease term, rating or internal score, and jurisdiction, together with the top-three concentration figure. Verify against Cirium or Fleet Discovery fleet data. This is the single highest-leverage document in the file and its absence is a red flag rather than an oversight.
  • OBTAIN the engine type and serial-level fleet schedule with the specific contractual clause allocating original equipment manufacturer compensation between operator and owner for grounded aircraft, plus any green-time substitution consents. Verify the PW1100G-powered share of the portfolio and the assumed shop-visit turnaround in the model.
  • ENGAGE an accredited appraiser (IBA, Cirium Ascend or Avitas) to re-run the manager's residual assumptions per tail at base, minus 15 percent and minus 25 percent to mid-life values at a 2029 to 2031 exit, and to confirm which methodology vintage the manager's own appraisal used, given the H2 2026 run-out value methodology change.
  • RUN International Registry priority searches through transaction counsel via Aviareto ( [44]) for every airframe manufacturer serial number and engine serial number in the portfolio, and obtain evidence of registration of the international interest and the contract of sale.
  • INSTRUCT a Saudi-licensed law firm to deliver an enforceability and repossession opinion expressly addressing the absence of Aircraft Protocol declarations, the content and effect of Saudi Arabia's Article 54(2) declaration, GACA deregistration practice and timelines, and enforceability of a deregistration power of attorney.
  • OBTAIN written confirmation of the manager's licence category and the fund's registration directly from the DFSA Public Register ( [45]) or the ADGM FSRA Public Register ( [46]), with the reference number and any conditions, cross-checked against the constitutional documents. A register query run during this screen returned a blocked response for at least one named manager, so this cannot be taken from the offering memorandum.
  • REQUEST the Shariah documentation set: the dated fatwa from the named Shariah Supervisory Board issued on the executed lease, insurance binder and maintenance programme rather than on the product category, the AAOIFI Shari'ah Standards Nos. 8 and 9 compliance certification, the service agency agreement wording allocating major maintenance and takaful, and the income screening and purification policy with evidence of the prior year's purified disbursement.

Operator Assessment

This is a sector screen of a fund and portfolio asset class, so per-founder profiles are not applicable. The operator profile the screen requires is set out below, together with the named platform track records that define the benchmark. Individuals are not named because no individual operator was verifiable to a primary source in this screen.

REQUIRED OPERATOR PROFILE. Four capabilities are non-negotiable in this asset class and a manager missing any one of them is not a candidate regardless of headline yield. First, in-house technical asset management: a team able to conduct pre-purchase inspections, manage records, run redelivery conditions and hold MRO slot relationships, because a passive allocator cannot buy MRO access. Second, remarketing distribution: evidence of aircraft placed with at least fifteen distinct lessees across at least ten countries through a prior cycle, because the 2026 credit events show that the binding constraint is re-placement speed, not asset scarcity. Third, funding: demonstrated access to warehouse or securitisation debt at a stated margin, since the gap between an investment-grade platform cost of funds and a family-office-sponsored cost of funds is the entire equity spread. Fourth, workout experience: a documented repossession, Chapter 11 lease rejection or cross-border enforcement completed by the named team, not by a predecessor firm.

BENCHMARK TRACK RECORDS (comparators and hurdle only, not positions). Dubai Aerospace Enterprise: H1 2026 total revenue USD 865.9 million with net lease revenue up 11.5 percent to USD 784.8 million, fleet of 638 aircraft at 30/06/2026, and the completed Macquarie AirFinance acquisition at approximately USD 9.0 billion enterprise value on 29/07/2026, with Fitch affirming BBB Stable and unsecured debt at 89 percent of total debt at end-H1 2026 VERIFIED. AviLease: H1 2026 revenue USD 391 million up 24 percent, 199 owned and managed aircraft across 51 airlines in 31 countries, USD 9.4 billion of assets, 100 percent utilisation, with USD 650 million of notes priced 02/07/2026 VERIFIED. Novus Aviation Capital: two fund launches in April and May 2026, with Airbus and Development Bank of Japan as co-sponsors on the debt fund and Sumitomo Mitsui Trust Bank as partner on the equity fund, and a prior series fully committed VERIFIED; DFSA authorisation status UNCONFIRMED pending written confirmation. Lesha Aviation Capital: approximately USD 3.3 billion of closed aviation AUM across 46 aircraft with a Dublin servicing platform and a London office opened in August 2026, under a QFCRA-licensed listed bank sponsor REPORTED. Any candidate manager's realised gross-to-net gap, fleet utilisation and re-placement record should be benchmarked against these disclosures before fee terms are discussed.

Conditions

  • LESSEE CONCENTRATION AND SAUDI CAP | Written lessee-level rent schedule delivered, with a contractual cap on top-three lessee concentration and a separate cap on Saudi lessee rent, both recorded in the limited partnership agreement or side letter | Verification: manager disclosure cross-checked against Cirium or Fleet Discovery fleet data | Before commitment letter.
  • SAUDI ENFORCEABILITY OPINION | Opinion from a Saudi-licensed firm on repossession, deregistration and the effect of the absent Aircraft Protocol declarations and the Article 54(2) Convention declaration | Verification: named Saudi firm of record; UNIDROIT status tables [24] | Before commitment letter.
  • QUALIFYING FREE ZONE PERSON TAX OPINION | Written opinion from an FTA-registered tax agent mapping each revenue line against Ministerial Decision No. 229 of 2025 Article 2(1)(k) and Article 2(2) and Cabinet Decision No. 100 of 2023 Articles 4 and 7, with a de minimis headroom calculation and a core income-generating activity location memorandum | Verification: FTA-registered tax agent; [47] | Before first capital call.
  • REGISTER CONFIRMATION OF MANAGER AND FUND | Primary register entry confirming the manager's licence category, the fund's registration, the reference number and any conditions | Verification: DFSA Public Register [45] or ADGM FSRA Public Register [46]; the register query in this screen returned a blocked response and the status of at least one named manager is UNCONFIRMED | Before subscription.
  • CP173 REPAPERING COVENANT | Contractual covenant in the subscription documents requiring the manager to repaper the fund to conform with the final DFSA rulebook following Consultation Paper No. 173, at the manager's cost | Verification: [43] | In the subscription documents.
  • SHARIAH DOCUMENTATION SET | Dated fatwa from the named Shariah Supervisory Board on the executed lease documentation, AAOIFI Shari'ah Standards Nos. 8 and 9 compliance certification, service agency agreement allocating major maintenance and takaful to the lessor back-to-back with the lessee, and a written income purification policy with prior-year evidence of disbursement | Verification: named Shariah Supervisory Board; [48] | Before commitment.
  • INSURANCE AND SANCTIONS PACKAGE | Certificates of insurance, AVN 67B contract party endorsement, AVN 111 or equivalent sanctions wording, cut-through rights, geographic limits, and evidence of contingent and possessed hull war cover; plus confirmation that screening runs to aircraft and engine serial number, operator, sub-lessee, MRO and insurer against OFAC, EU and UN lists | Verification: the vehicle's insurance broker of record; OFAC sanctions list [49] | Before first capital call.
  • LIQUIDITY AND TRANSFER RIGHTS | Documented four to five year liquidity mechanism, continuation-vehicle policy, or negotiated transfer and secondary-sale rights plus a most-favoured-nation election and sight of the full side letter register | Verification: limited partnership agreement and side letter | In the subscription documents. Without this condition the horizon mismatch is unresolved and no commitment clears the screen.

Next Step

This screen is complete and the verdict is SELECTIVE, held there by a falling narrowbody lease rate tape, a seven-plus-two fund life against a three to five year mandate, and three named unresolved triggers rather than by any absence of a named vehicle. REQUEST, within 20 business days, written subscription terms, minimum ticket, domicile, full fee stack, lessee-level rent schedule and liquidity mechanism from Novus Aviation Capital (Ortus III and Tamweel Aviation Finance III), Lesha Aviation Capital and the Hassana and AviLease joint venture, each accompanied by primary-register confirmation of manager authorisation and a CP173 repapering covenant, and re-run this screen on publication of the IBA Q1 2027 Market Value and Market Lease Rate update.

Final Verdict

SELECTIVE: GCC aviation finance carries a genuine UAE tax carve-out and one route that clears the 6.250 percent sukuk hurdle by 75 to 325 basis points, but narrowbody lease rates are falling inside the tightest supply market on record and the accessible wrappers run seven years plus two against a three to five year mandate, so the position waits on the IBA Q1 2027 print, the December 2026 FOMC projections and the final text of AAOIFI Shari'ah Standard No. 62.
