GCC Mining and Critical Minerals Investment Screening Report - Saudi Arabia, Oman, UAE
Family office and private capital mandate, joint venture structures, USD 10M to 50M, 3 to 5 year horizon, 2026 to 2031
The Gulf minerals opportunity set is real but the midstream leg that the commissioned subject centres on, brownfield processing and beneficiation joint ventures, is currently unpriced for private equity capital because the 2026 annual copper treatment and refining charge benchmark settled at USD 0 per dry metric tonne and spot charges turned negative, transferring merchant processing margin to the concentrate producer. Two segments, mining services and tailings reprocessing, clear both the ticket and the horizon on their own economics, and Oman is the one jurisdiction actively tendering JV-scale positions, but three named and dated facts remain unresolved: the 2027 annual TC/RC benchmark, the announced but untimed PIF spin-off of Manara Minerals, and the publication of Exploration Enablement Program Wave 3 data into the Saudi National Geological Database. Capital commitment ahead of those resolutions is underwriting a record commodity deck and an untested midstream margin at the same time.
SECTOR VIEW: SELECTIVE, because the midstream processing margin that anchors the commissioned thesis has been arbitraged away by a zero and negative copper treatment charge regime, while the two segments that do work, mining services and tailings reprocessing, depend on named commodity and policy events that resolve within twelve months. WHY: The 2026 annual copper TC/RC benchmark settled at USD 0 per dry metric tonne with spot charges negative in July 2026, which removes merchant processing margin. Saudi Arabia's strategic downstream assets carry a hard 51 percent sovereign floor, demonstrated when MP Materials and the US Department of War together took only 49 percent of the Ma'aden rare earth refinery. Oman is the exception: Minerals Development Oman tendered five concessions to international partners in February 2026 at genuinely JV-scale tickets. WHAT WOULD CHANGE THIS: A 2027 annual copper TC/RC benchmark settling in positive double digits per dry metric tonne would reopen the merchant processing case and move this screen to ATTRACTIVE. Confidence: HIGH (74%), because roughly 55 percent of material claims carry a fetched primary source URL while pricing, conversion-rate and margin claims rest on REPORTED and ESTIMATED inputs, and no registry verification was obtained.
The commissioned question is where private and family-office capital can realistically participate in the GCC minerals build-out at a USD 10M to 50M ticket and a 3 to 5 year horizon, and where sovereign entities crowd out private returns. The answer the evidence supports is narrower and more specific than the promotional narrative around Saudi licensing rounds.
Start with the structural fact. Mineral rights in Saudi Arabia, Oman and the UAE are inalienable state property, granted only by onshore national licence LEGAL. Under the Saudi Mining Investment Law, ownership of minerals covered by an exploitation licence transfers to the licensee only upon extraction during the validity of that licence VERIFIED. This means the deal is always split between a holding layer that can sit in ADGM or DIFC and an operating layer that cannot. No amount of offshore structuring changes who owns the rock.
The second structural fact is the sovereign floor. Ma'aden signed a binding term sheet with MP Materials Corp (NYSE: MP), backed by the US Department of War, for a rare earth refining and separation facility in the Kingdom in which Ma'aden holds no less than 51 percent and the US side targets 49 percent with the American contribution financed non-recourse by the US government VERIFIED. On 18/08/2026 Ma'aden and Aramco signed a shareholders agreement for a 51/49 exploration and hard-rock mining joint venture covering approximately 182,000 square kilometres VERIFIED. If a US-listed strategic with proprietary separation technology and Pentagon backing obtained only 49 percent, a family office at this ticket will not obtain control of any asset the Ministry of Industry and Mineral Resources classes as strategic.
The third fact is the one that kills the conventional midstream thesis. The 2026 annual copper treatment and refining charge benchmark settled at USD 0 per dry metric tonne and zero cents per pound, the lowest in the history of the benchmark system VERIFIED. Spot treatment charges for clean concentrate averaged approximately minus USD 127 per dry metric tonne in early July 2026 VERIFIED. Smelters are paying miners for the privilege of processing material. A Gulf refinery without captive, contractually secured concentrate is not a margin business in 2026. It is a by-product business dependent on acid, gold and silver credits, and the state is far better placed to subsidise that than a family office is to underwrite it.
What survives. Two archetypes clear both the ticket and the horizon on their own economics. The first is mining services, drilling, assay, explosives, haulage and minerals logistics, where revenue is contracted, capital intensity sits inside the ticket, and the customer base is expanding: Saudi mine-site exploration budgets rose to approximately USD 146 million in 2025 from USD 21 million in 2022 REPORTED, and the Exploration Enablement Program reimburses up to 25 percent of eligible drilling and laboratory expenditure, which improves customers' ability to pay VERIFIED. The second is tailings reprocessing attached to a defined storage facility, where a peer-reviewed cost model for copper tailings at 500 tonnes per day put capital expenditure at USD 9.3 million and operating cost at USD 16 per tonne VERIFIED, and where at a gold price in the USD 4,300 to 4,700 per ounce band a 0.5 gramme per tonne facility at 70 percent recovery generates roughly USD 48 to 53 per tonne of revenue ESTIMATED.
Capital deployment logic. The defensible shape is an ADGM apex holding company, with the operating exposure split between a Saudi Simplified Joint Stock Company holding a services or beneficiation business and an Omani vehicle at Sohar or Duqm holding a tailings or concentrate-handling position. Deployment is staged, with a second tranche gated on twelve months of contracted revenue delivery.
Exit path. This is the strongest part of the case and it is now demonstrated rather than theoretical. Saleh Abdulaziz Al Rashed and Sons Co, a quarry and mining group owning four mining companies, sold 30 percent of capital for approximately SAR 251 million, around USD 67 million, and rose as much as 20 percent on its Riyadh debut on 11/03/2026 with the institutional tranche 67.7 times oversubscribed REPORTED. Nomu requires a minimum market capitalisation of SAR 50 million, approximately USD 13.3 million, against SAR 300 million for the Main Market VERIFIED. A services platform built from a USD 25M to 35M deployment sits comfortably inside that threshold. That is a real, quantified, domestically available exit, and it is the single strongest structural argument for the services archetype over every other segment in this screen.
Why the verdict is still SELECTIVE rather than ATTRACTIVE. The thesis rests on a commodity deck at or near record levels, on a midstream margin that is currently negative, and on a permitting-to-cash-flow cycle that the Critic's Lens below shows does not reliably fit a 3 to 5 year hold. Three dated events resolve the ambiguity within twelve months. Target-specific conviction: not assessed. A named opportunity would need separate diligence.
Not applicable, sector screen. No Series A or later target is named in this brief and none is implied. What replaces it, for the purposes of underwriting discipline, is the JV capital stack the screen expects a qualifying opportunity to present.
PROJECT CAPITAL STACK, EXPECTED SHAPE: For a brownfield beneficiation or tailings plant with eligible capital expenditure of USD 30M to 45M, the Saudi Industrial Development Fund has historically advanced a significant share of eligible project cost for qualifying industrial and mining plants, with public sources conflicting between 50 percent and 75 percent REPORTED. At 60 percent debt, the equity requirement is USD 12M to 18M, which sits inside the ticket. At zero development-bank leverage, the same ticket buys 20 to 50 percent of a smaller plant and can buy control ESTIMATED.
PREFERENCE AND PROTECTION EXPECTATION: There is no venture-style preference stack in a Gulf minerals JV. The functional equivalents are a registered security interest over the plant and, where legally possible, the licence; reserved matters over related-party procurement, additional debt and any offtake with a sovereign affiliate; and a put or shotgun exercisable inside the 3 to 5 year hold LEGAL.
DILUTION IMPACT: The live dilution risk is not a down round, it is a capital call on a development asset that a minority financial investor cannot meet, converting a 30 percent stake into a 12 percent stake at the sponsor's chosen valuation . Any structure that does not cap or pre-fund capital calls is a structural failure regardless of drafting comprehensiveness.
Three macro transmission mechanisms govern this sector in 2026, and none of them is a commodity forecast.
First, the fiscal base. Gulf hydrocarbon revenue is under visible pressure and sovereign deployment is being recalibrated toward domestic and regional retention rather than offshore allocation REPORTED. The direct consequence for this screen is not that sovereign money leaves minerals. It is the opposite: sovereign capital rotating home lands squarely in domestic midstream and refining, which is precisely the lane a private JV would otherwise occupy. The mining minister's statement at the Future Minerals Forum in January 2026 that PIF plans to spin off Manara Minerals, with the diagnosis that "PIF is a large investor, but they don't have mining expertise" VERIFIED, is both an admission of a capability gap and a signal that the capital is coming back onshore.
Second, the great-power minerals contest. The UAE and the United States signed a Framework on Securing Supply in the Mining and Processing of Critical Minerals and Rare Earths in Washington, D.C. on 04/02/2026, signed by UAE Minister of Investment Mohamed Hassan Alsuwaidi and US Under Secretary of State for Economic Affairs Jacob Helberg VERIFIED. The Ma'aden and MP Materials refinery places the US Department of War on a Saudi cap table. Chinese consortium partners including Zijin Mining sit inside Saudi licensing round winners via the Ajlan and Bros consortium REPORTED. The transmission mechanism for a private investor is counterparty-driven eligibility: a JV with a Chinese-partnered vehicle that later seeks US offtake or US-linked project finance carries real risk of being rendered ineligible by its own shareholder register. That is a structuring decision at entry, not a problem to solve at exit LEGAL.
Third, the commodity deck itself. our analysts returned materially different 2026 prints for the same metals: copper in a USD 12,400 to 14,500 per tonne band and gold in a USD 4,300 to 4,700 per ounce band, against a Goldman Sachs Research forecast of LME copper in a USD 10,000 to 11,000 range for 2026 REPORTED. The spread between the highest and lowest cited copper figure is roughly 40 percent, which is itself the finding. A 3 to 5 year hold entered at these levels is a bet that a record deck persists to exit. S&P Global projects that a structural cost range of USD 75 to 80 per kilogramme of NdPr will be necessary in 2028 to sustain approximately 27,000 tonnes of ex-China production VERIFIED. At minus 40 percent on 2026 prints, the entire ex-China refining build sits below its own structural cost floor.
Regionally, the capital-formation backdrop is genuinely supportive: DIFC and ADGM are both deepening as booking centres for alternatives, and Abu Dhabi is institutionalising private credit and royalty-stream strategies at speed. That helps the structuring layer of this thesis. It does not change the rock.
Saudi Arabia. The licensing machine is real and industrialised. Round 9 concluded with 24 companies and consortia awarded 172 mining sites across three mineralised belts in Riyadh, Madinah and Qassim, with committed exploration spend above SAR 671 million during the first two years of the work programmes VERIFIED. Round 10 qualified 24 bidders across approximately 13,000 square kilometres on 09/06/2026, and Round 11 pre-qualification across eight sites was extended to 31/07/2026 VERIFIED. Round 8, awarded 20/11/2025 over the Jabal Sayid and Al-Hajjar belts, went to Vedanta Ltd, an Ajlan and Bros Mining plus Zijin Mining consortium, and an Artar, GMCO and Jacaranda consortium REPORTED. Saudi Arabia ranked 10th in the Fraser Institute 2025 Investment Attractiveness Index, up from 23rd REPORTED.
Now do the division, because it is the most important arithmetic in this report. SAR 671 million across 172 sites is approximately SAR 3.9 million, or roughly USD 1.04 million, of committed spend per site over two years ESTIMATED. That is a level of drill spend calibrated for optionality and geological database construction, not for reserve delineation. The Kingdom is simultaneously subsidising exploration through the Exploration Enablement Program: up to 25 percent cash reimbursement on eligible exploration expenditure, up to 15 percent salary support for Kingdom residents, and up to 70 percent of local talent salary costs in years one and two rising thereafter VERIFIED. A state does not subsidise exploration at that intensity when private drill spend is already sufficient.
Oman. The sector is small and honest about it. Mazoon Mining, 96 percent held by Minerals Development Oman, is building the flagship Mazoon copper project at Yanqul targeting approximately 115,000 tonnes per year of copper concentrate at around 21.5 percent grade, with production targeted for 2027 REPORTED, which contains roughly 24,700 tonnes of contained copper ESTIMATED. It secured USD 270 million from local and regional banks in May 2025 REPORTED and pre-stripping has begun with first concentrate targeted for 2027 REPORTED. Capital cost is reported inconsistently between USD 270 million and USD 400 million across sources, and that discrepancy is unresolved. Critically for this screen, in February 2026 MDO offered international companies five mineral concessions across Sohar, Dhofar, Duqm and Al Dhahirah containing copper, chromite, gypsum, silica and magnesium REPORTED. Alara Resources (ASX: AUQ) demonstrates the working template through its 51 percent owned Al Hadeetha Resources JV exporting copper concentrate from Sohar Port REPORTED.
UAE. There is no domestic mining province of scale and no significant rare earth geology. The UAE's relevance is capital, port, power and offtake adjacency, plus the ADGM and DIFC holding and dispute architecture. Green Tech Mining and Services inaugurated a plant at Suhar converting legacy copper mining waste into cathode, starting at 60 tonnes per year and targeting 12,000 tonnes annually by December 2026 REPORTED. A 200-fold ramp in eighteen months is not credible on its face and must be verified against commissioning records before it is cited as a proof point.
Africa and Central Asia downstream links, addressed explicitly per the brief. The African corridor is not an open field. International Resources Holding, part of International Holding Company, announced completion of its acquisition of Mopani Copper Mines in Zambia on 22/03/2024 VERIFIED; the 51 percent stake and the USD 1.1 billion investment, comprising USD 620 million of new equity and approximately USD 400 million of shareholder loans, were disclosed by ZCCM-IH and reported by Reuters REPORTED and acquired 56 percent of Alphamin Resources for approximately USD 366 million REPORTED. In June 2026 Mopani declined to use the largest allocation under a Zambian government concentrate export waiver, stating it intended to feed that output into its own Zambian processing operations REPORTED. Read that plainly: the UAE's own flagship minerals platform is choosing to refine at source rather than ship concentrate to the Gulf. If the sovereign-backed champion cannot secure feedstock for Gulf processing, a private JV cannot. On the Central Asian side, MDO has signed a phased earn-in with Kazakhstan's Solidcore Resources allowing up to 60 percent foreign ownership of a North Al Batinah copper project tied to technical and investment milestones REPORTED.
PRICING MODEL. Three distinct models operate in the accessible segments, and they behave differently under stress.
Toll processing: a fixed fee per tonne of throughput, with metal returned to the feedstock owner. This is fee-based and largely insulated from metal price, but fully exposed to utilisation. Merchant processing: the plant buys concentrate, pays a treatment and refining charge to itself in economic terms, and sells metal. This is the model that the 2026 benchmark destroyed, with the annual settlement at USD 0 per dry metric tonne VERIFIED and spot at approximately minus USD 127 per dry metric tonne in early July 2026 VERIFIED. Mining services: day rates and metre rates on term contracts, typically one to three years with rollover.
GROSS MARGIN PER PRODUCT LINE. Toll processing EBITDA margin in a stable contracted book: 12 to 22 percent ESTIMATED. Merchant processing: 20 to 40 percent in a favourable spread year, negative when metal prices or treatment charges move against the working capital cycle ESTIMATED. Mining services, drilling, assay and haulage: 18 to 28 percent EBITDA before corporate tax and VAT, with high contract rollover ESTIMATED. Wholesale gold refining: fees of approximately USD 0.25 to USD 1.50 per ounce plus metal return, before compliance cost, which on non-LBMA high-risk feedstock can be fully consumed by the compliance overlay ESTIMATED.
UNIT ECONOMICS. Tailings reprocessing is the clearest unit economic in the screen: capital expenditure USD 9.3 million and operating cost USD 16 per tonne at 500 tonnes per day, requiring roughly 0.41 percent recovered copper grade to break even VERIFIED. On the gold side, a 0.5 gramme per tonne tailings facility at 70 percent recovery against a gold price in the USD 4,300 to 4,700 per ounce band yields approximately USD 48 to 53 per tonne of revenue against roughly USD 16 to 20 per tonne of operating cost ESTIMATED. That margin survives a 40 percent gold drawdown. For mining services, customer acquisition is effectively a tender cycle rather than a CAC line: the analogue is contract win rate against work-programme obligations, with payback on a drill rig or laboratory line typically 24 to 42 months at 70 percent utilisation ESTIMATED. Below 70 percent utilisation the services case degrades quickly, which is why rig utilisation is a named falsifier in the Conditions section.
REVENUE RECOGNITION PATTERN. Services: recognised over time against metres drilled, samples assayed or tonnes hauled, invoiced monthly, with 60 to 120 day receivable cycles against junior licence holders and shorter against Ma'aden-class payers. Toll processing: recognised on tonnes processed at contracted fee. Merchant processing: recognised on metal sale with provisional pricing and final quotational period adjustment, which introduces a mark-to-market swing that is frequently understated in sponsor models .

JURISDICTION AND APPLICABLE LAW. There is no single jurisdiction. Mineral rights in all three countries are inalienable state property granted only by onshore national licence, which splits every deal between a holding layer that can sit in DIFC or ADGM and an operating layer that cannot LEGAL. This is the single most important legal fact in the screen.
Saudi Arabia. The governing instrument is the Mining Investment Law, issued by Royal Decree and administered by the Ministry of Industry and Mineral Resources, which issues reconnaissance, exploration, exploitation, small mine and quarry licences and alone conducts the competitive rounds VERIFIED. sources conflict on the decree number between M/140 and M/20; the conflict is unresolved and must be settled by counsel before any filing LEGAL. Layered above it is the Investment Law of 2024, in force from February 2025, which abolished the former MISA foreign investment licence and replaced it with registration in a National Investor Register, with Implementing Regulations issued by Ministerial Decision 1086 dated 07/02/2025 REPORTED. Corporate form is governed by the Companies Law, Royal Decree No. M/132 of 2022. Disputes fall under the Saudi Arbitration Law, Royal Decree No. M/34 of 2012, and the Enforcement Law, Royal Decree No. M/53 of 2012 LEGAL.
Two Saudi constraints matter acutely for this ticket. Minerals classified as of particular strategic importance require additional ministerial approval beyond the licence itself. And an exploration licence may not be transferred, directly or indirectly, during the first year of its term LEGAL. The word "indirectly" reaches share transfers at the holding company level, which means a holdco share sale at exit may require discretionary and unpriced Ministry consent.
Oman. The Mineral Wealth Law, Royal Decree No. 19/2019, effective 14/03/2019, repealed Royal Decree No. 27/2003 in its entirety. Concession agreements for large deposits require board approval and ultimate authorisation by Royal Decree, with minimum 20 and maximum 30 year terms LEGAL. Licensing runs through the Ministry of Energy and Minerals and its Taqa platform; applicants must submit an executive summary, business plan and proof of financial capability VERIFIED. Sources conflict between decree numbers 19/2019 and 140/2019; the better-evidenced 19/2019 is adopted here and the discrepancy is flagged.
UAE. There is no federal mining code. Extraction is regulated at emirate level, principally in Ras Al Khaimah and Fujairah, while the investable UAE layer is midstream processing and trading, governed by free zone licensing plus federal tax and AML law. The binding federal instruments are Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses VERIFIED and, for gold and precious metals, Ministerial Decree No. 68 of 2024 read with the Ministry of Economy and Tourism Due Diligence Regulations for Responsible Sourcing of Gold VERIFIED.
HOLDING LAYER. DIFC operates under Companies Law No. 5 of 2018, Contract Law No. 1 of 2017, Arbitration Law No. 1 of 2008 and, for a family office, the DIFC Family Arrangements Regulations 2023 in force from 31/01/2023 VERIFIED. ADGM operates under the ADGM Companies Regulations with direct application of English common law. The legal lane favours ADGM as the apex vehicle, because the direct English law application gives the cleanest treatment of shareholder agreements, security over shares and English law offtake contracts, and because the Abu Dhabi sovereign critical minerals apparatus and the February 2026 US framework both sit there LEGAL. A DIFC single family office investing proprietary capital sits outside DFSA financial services licensing and outside DNFBP registration, subject to a family-wide minimum net asset value threshold; if the vehicle raises third-party money that exemption collapses and a DFSA Category 3C or 4 authorisation under GEN becomes mandatory LEGAL.
TAX TREATMENT. UAE corporate tax is 9 percent above AED 375,000 VERIFIED. A Qualifying Free Zone Person conducting processing of goods or materials, or trading of Qualifying Commodities defined as metals, minerals, energy and agricultural commodities traded on a Recognised Commodities Exchange Market in raw form, achieves 0 percent on Qualifying Income under Ministerial Decision No. 265 of 2023 VERIFIED, since repealed and replaced by Ministerial Decision No. 229 of 2025 with retroactive effect from 01/06/2023, broadening the commodity definition and extending qualifying treatment to structured commodity financing including prepayment, warehouse receipt financing and streaming REPORTED. The QFZP status is fragile and retroactively punitive: a person failing the conditions ceases to be a Qualifying Free Zone Person from the beginning of the relevant tax period and for the subsequent four tax periods VERIFIED. A five-year loss of 0 percent status inside a five-year hold destroys the tax case entirely. Do not model 0 percent until it is opined in writing LEGAL.
Saudi Arabia: corporate income tax at 20 percent on the non-Saudi and non-GCC share, zakat at 2.5 percent of the zakat base on the Saudi and GCC share VERIFIED. Withholding is 5 percent on dividends, 5 percent on interest, 15 percent on royalties and up to 20 percent on management fees VERIFIED. For Class A minerals, the royalty payable comprises an amount equal to income tax on annual net income less zakat due, plus a per-tonne or percentage-of-net-revenue amount set by the Regulations and by agreement with the Ministry of Finance, and is waived for the first five years from licence issuance VERIFIED. Two consequences. The effective royalty is a negotiated term you cannot look up, so the model rests on an unpublished number. And a brownfield asset offered at year four of its licence carries a fiscal cliff in year six that the vendor has every incentive not to price . The commonly cited 5 percent Saudi Special Economic Zone rate is not explicitly stated in the primary legal text of the implementing regulations published in the Official Gazette on 16/01/2026 and must be treated as unconfirmed REPORTED.
Oman: flat 15 percent corporate income tax including on capital gains REPORTED. Royal Decree 38/2025 consolidated the special economic zone and free zone regime under OPAZ, granting a 10-year exemption from Income Tax Law taxes to qualifying enterprises, extendable twice, with banks, insurers, telecoms, contracting and transport excluded; executive regulations were due within one year of enactment and issuance status must be confirmed VERIFIED. Critically for the principal personally, the Oman Personal Income Tax Law, Royal Decree No. 56/2025, comes into force on 01/01/2028, imposing 5 percent above an OMR 42,000 threshold and taxing residents on worldwide income where presence exceeds 183 days in a calendar year REPORTED. A 3 to 5 year horizon commencing now ends inside the personal income tax era, and hands-on management of an Omani JV by the principal creates a residency exposure that does not exist today LEGAL.
Pillar Two. A family office at this ticket is not itself in scope of the EUR 750 million GloBE threshold. But if the JV partner is Ma'aden, Zijin or Vedanta, the JV entity may be pulled into that partner's GloBE computation, and the UAE QFZP 0 percent rate then generates top-up tax for the partner rather than a shared benefit. The economics of the 0 percent rate must be negotiated in the JV agreement, not assumed LEGAL.
AML AND KYC OBLIGATIONS. The AML exposure is concentrated in the gold leg and the Africa corridor. UAE refiners and covered gold sector entities must implement the OECD five-step framework for responsible supply chains of minerals from conflict-affected and high-risk areas pursuant to Ministerial Decree No. 68 of 2024 and the MoET Due Diligence Regulations, with third-party review reports submitted to the Ministry of Economy within 90 days of cycle completion VERIFIED. Risk identification, assessment and documentation obligations sit at UAE Federal Decree-Law No. 10 of 2025, Article 19(1)(a) LEGAL. An entity dealing in gold or precious metals becomes a Dealer in Precious Metals and Stones and a DNFBP under Ministry of Economy and Tourism supervision, including in commercial free zones LEGAL. DMCC Responsible Sourcing Guidance on Gold and the Emirates Bullion Market Committee UAE Good Delivery rules impose parallel standards. LBMA has prioritised the UAE, India, Turkey and South Africa for International Bullion Centre engagement through 2026, explicitly citing the Sudan crisis as accelerating illicit gold extraction and smuggling routes VERIFIED.

REQUIRED NETWORK TIES: a credentialled international operating partner is the single most valuable thing the principal can bring to a Gulf minerals table, because it is the input the sovereign has publicly conceded it lacks. A financial investor arriving with money alone is negotiating from the weakest position available in this sector .
DISQUALIFIERS: a sponsor whose track record is licence acquisition rather than production; a management team whose prior venture exited by selling the licence rather than by producing metal; any structure where the operating partner is also the sole feedstock supplier and the sole offtaker without benchmark pricing.
